CLUB CONSTITUTION
E.A.S.S.C. Ltd is a limited company that administers all the affairs of East Anglia Schoolboy Scrambling Club, the directors of which will normally be the Chairman, Secretary and Treasurer of that Club.
1. The Club shall be known as the “East Anglia Schoolboy Scrambling Club” (EASSC).
2. The Club shall be affiliated to the “British Schoolboy Motorcycle Association” (BSMA).
3. The Rules and Regulations of the Club are those of the BSMA, plus any additional rules that may be necessary from time to time.
4. The object of the Club is to provide facilities and training in motocross or any other motorcycle sport.
5. The Club shall be managed by a committee consisting of the following officers: Chairman, Secretary and Treasurer, plus any other adults as is deemed necessary, who shall be elected at the Annual General Meeting (AGM) of the Club, from fully paid up members of the Club. Should vacancies occur between elections the Management Committee shall co-opt new representatives within 14 days.
6. Duties of the Committee
a) The Management Committee shall attend to the general administration of the Club and shall be empowered to make all such arrangements and financial transactions as may be necessary for the benefit of the Club and its members.
b) The committee shall meet periodically and each committee member shall receive 7 days prior notice. At these meetings a quorum shall consist of the Chairman, Secretary and 4 other committee members.
c) In addition a Special General Meeting shall be convened by the Secretary on receipt of a request in writing by not less than 20 members of the Club, such request specifying the business which the signatories desire to place before the committee. At least 14 days notice shall be given when convening the AGM or any Special GM. This notice shall be accompanied by an agenda of the matters to be discussed at the meeting.
d) At the AGM or any Special GM each member present shall have one vote only in each motion. In the event of equality of votes the Chairman shall have the casting vote.
7. Litigation
Any committee member, who acts with the full knowledge of the committee, shall be deemed to be acting on behalf of the Club and shall be indemnified against personal loss.
8. Finance and Subscription
The membership fee (i.e. subscription) shall be determined at the start of the new calendar year and will be per family. Membership runs from 1st January to 31st December each year and the fee is payable to the secretary before the member can take part in any activities or vote at any meeting of the Club. Race numbers will only be held over 31st January. On becoming a member each family will be presented with a copy of the constitution and a copy of the rules.
9. Membership
Membership is at the discretion of the Club and may be suspended or cancelled at the discretion of a full meeting of the management committee.
10. Banking
The Club (E.A.S.S.C. Ltd) shall operate a banking account. Withdrawal forms and cheques shall be signed by any two of the following, Chairman, Secretary or Treasurer. All payments must be approved by the management committee and recorded in the minutes of that meeting.
11. Accounts
The Treasurer shall keep account of all monetary transaction and shall be required to present a statement of the said accounts at the AGM.
12. Alteration to Constitution
No alterations to the constitution shall be made except at a Special GM of the Club convened for this purpose or at an AGM. Provided that not less than 14 days notice of any proposed alteration shall be given to each member. Any such alteration must be confirmed by resolution of not less than two thirds of the members present and voting at the meeting.
13. Club Championship
The rules of the Club Championship shall be decided at the start of the each year and published prior to the start of the season and could be subject to change at the Committee’s discretion.
